Terms of Service

These Terms of Service (“Terms”) are a legal agreement between you (“you,” “Customer”) and Axel Goncalves, operating SpotN (“SpotN,” “we,” “us”), based in Western Australia. By creating an account or using SpotN, you agree to these Terms. If you don’t agree, don’t use the service.

Our Privacy Policy explains what data we collect and how we handle it, and is incorporated into these Terms by reference.

1. What SpotN Is

SpotN is a B2B lead generation and prospecting tool. It searches Google Maps and public business websites to find company and contact information, scores contacts for reliability, and lets you organize, track, and reach out to leads through a built-in pipeline, email sequences, and integrations with third-party CRMs (currently HubSpot and Pipedrive) and automation tools (currently Zapier, via API key).

SpotN is an early-stage, beta product. Features, pricing, and plan limits described in these Terms and on our site reflect the current state of the product and may change as it develops. We’ll do our best to communicate material changes in advance, but we don’t guarantee that any specific feature will remain available indefinitely, and we may modify, suspend, or discontinue all or part of the service at any time. If we discontinue the service entirely, we’ll give active subscribers reasonable notice where possible.

2. Accounts

You need a Google account to sign up, and you must be at least 18 years old and able to enter into a binding contract to use SpotN. You’re responsible for keeping your account credentials secure and for all activity that happens under your account. Tell us right away if you suspect unauthorized access.

You’re responsible for the accuracy of any information you provide (billing details, company info) and for keeping it up to date.

3. Plans, Pricing, and Payment

Current plans, pricing, and monthly limits (searches per month, leads per search, CRM access, AI copywriter quota) are listed on our pricing page and may be updated from time to time. Prices are in US dollars unless stated otherwise.

Beta founder pricing: customers who subscribe to a paid plan during the beta period keep a 50% discount on that plan, locked in for life, for as long as they stay continuously subscribed without a gap. A few specifics:

• The locked-in rate applies to the specific plan (Basique, Medium, or Premium) you first subscribe to. If you switch to a different plan later, the new plan is billed at its standard rate.
• This is a price lock, not a feature freeze: plan features and limits may change over time as SpotN develops. What stays fixed is your discounted rate.
• The discount is tied to your account and can’t be transferred to another account.
• We may change or end this offer for new subscribers at any time; doing so never affects customers already locked in under these Terms.

Billing: subscriptions are billed in advance on a recurring basis (monthly, unless otherwise stated) via our payment processor (Stripe). By subscribing, you authorize us to charge your payment method automatically each billing cycle until you cancel.

No free trial: there is currently no free trial period. Charges begin when you subscribe.

Free trial and one-time packs: each new account includes one free trial search (up to 10 leads). One-time packs (lead packs and Copywriter Agent packs) are single payments with no recurring charge. Pack credits never expire, are used after your plan’s monthly allowance (if you have a plan), are tied to your account and aren’t transferable, and are deleted along with your account. For lead packs, credits are only consumed for leads actually delivered: credits reserved for a search that finds fewer leads are returned to your balance. Copywriter Agent credits are consumed per successful generation. Beta founder pricing doesn’t apply to packs.

No refunds: payments (subscriptions and packs) are non-refundable, including for partial billing periods, except where a refund, credit, or other remedy is required by law and can’t be excluded by these Terms (see Section 9). You can cancel at any time (see Section 4); cancellation stops future charges but does not refund the current period already paid for.

Price changes: we may change plan pricing going forward, but if you’re an active subscriber, any price increase will only apply to you starting from your next renewal after we’ve given you reasonable advance notice (email or in-app), never retroactively or mid-cycle without notice.

Failed payments: if a payment fails, we may suspend your access until payment is resolved, and may terminate your account if the issue isn’t resolved within a reasonable time.

4. Cancellation

You can cancel your subscription at any time from your account settings (or by emailing us at the address in Section 16 if that option isn’t available yet — we’ll confirm receipt by email so there’s a record of when the request was made). Cancellation takes effect at the end of your current billing period; you keep access until then, and you won’t be charged again after that. If you cancel and later resubscribe, beta founder pricing (Section 3) is only preserved if you never had a gap in your subscription.

5. Acceptable Use

SpotN gives you tools to find and contact businesses. What you do with that access is your responsibility. Specifically, you agree that you will not:

• Use SpotN to send unsolicited communications in violation of applicable anti-spam laws in your jurisdiction or the recipient’s (including, where applicable, the US CAN-SPAM Act or Australia’s Spam Act 2003) — this includes providing a working unsubscribe/opt-out mechanism in your own outreach and honoring opt-out requests
• Use SpotN to harass, defraud, or deceive any person or business
• Scrape, copy, or resell SpotN’s search results as a standalone data product or competing database
• Attempt to circumvent plan limits, rate limits, or access controls, or use SpotN in a way that could damage, disable, or impair the service for other customers
• Use automated means to access SpotN outside of the features and API we explicitly provide
• Use SpotN for any activity that’s illegal in your jurisdiction or the jurisdiction of the businesses/contacts you’re targeting

We may suspend or terminate accounts that violate this section, with or without notice depending on severity.

6. Third-Party Integrations

SpotN integrates with third-party services (currently Google, HubSpot, Pipedrive, Zapier) at your choice and direction. Your use of those services is governed by their own terms, and you’re responsible for complying with them. We aren’t responsible for the availability, accuracy, or conduct of third-party services, or for any consequence of connecting your account to them.

7. Data and Ownership

You own the data you create in SpotN: your searches, your pipeline, your notes, the leads you’ve saved. We don’t sell it, and we don’t use it to train products for other customers, beyond the limited shared cache described in our Privacy Policy (recently-found public contact details reused for 30 days to avoid re-scraping the same business, never a permanent database of your specific research).

We own SpotN itself: the software, the design, the SpotN name and logo, and all underlying technology. Nothing in these Terms transfers any of that to you.

The public business information SpotN surfaces (business names, addresses, public contact details) comes from public sources and isn’t something either of us “owns” — see our Privacy Policy for how we collect and handle it.

8. Feedback

If you send us feedback, suggestions, or feature requests, you agree we can use them to improve SpotN without any obligation or payment to you. We value your input and often build things you ask for, but nothing here entitles you to compensation, credit, or ownership of the resulting feature.

9. Service Availability and Disclaimers

We aim to keep SpotN available and accurate, but as an early-stage product, we don’t guarantee uninterrupted access, error-free operation, or that any specific lead, email, or contact found by the service is accurate or up to date. SpotN is provided “as is” and “as available,” without warranties of any kind, express or implied, including fitness for a particular purpose or merchantability, to the maximum extent permitted by law.

Nothing in this section excludes, restricts, or modifies any guarantee, right, or remedy that applies to you under a law that can’t be excluded by agreement, including consumer protection legislation such as the Australian Consumer Law. Where such a law applies and can’t be excluded, but can be limited, our liability is limited (at our option, to the extent permitted) to resupplying the service or refunding the amount you paid for it.

10. Limitation of Liability

To the maximum extent permitted by law, SpotN and Axel Goncalves won’t be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunities, arising from your use of (or inability to use) SpotN, even if we’ve been advised of the possibility.

Our total liability for any claim arising from these Terms or your use of SpotN is capped at the amount you paid us in the 12 months before the claim arose.

Nothing in this section limits liability that can’t be limited under applicable law.

11. Indemnification

You agree to indemnify and hold us harmless from any claim, damage, or expense (including reasonable legal fees) arising from: your violation of these Terms, your violation of any law in how you use SpotN or contact leads found through it, or content you send through the service (including sequences and emails).

12. Termination

We may suspend or terminate your account for violation of these Terms, non-payment, or if required by law. You may stop using SpotN and cancel your subscription at any time (Section 4). Sections that by their nature should survive termination (ownership, disclaimers, limitation of liability, indemnification, governing law) do.

Account deletion and data retention after termination are handled per our Privacy Policy (30-day retention before permanent deletion, upon request).

13. Changes to These Terms

We may update these Terms as SpotN evolves. If a change is material, we’ll make a reasonable effort to notify active subscribers (in-app notice or email) before it takes effect. Continuing to use SpotN after a change takes effect means you accept the updated Terms.

14. General Provisions

Entire agreement: these Terms, together with our Privacy Policy, are the entire agreement between you and us about SpotN, and replace any earlier discussions or agreements on the subject.

Severability: if any part of these Terms is found unenforceable, the rest stays in effect.

No waiver: if we don’t enforce a provision at some point, that doesn’t mean we’re waiving our right to enforce it later.

Assignment: you can’t transfer your account or rights under these Terms to someone else without our consent. We may assign these Terms, for example if SpotN is acquired or restructured; we’ll make reasonable efforts to notify active subscribers if that happens.

Force majeure: neither party is liable for delays or failures caused by events outside their reasonable control (natural disasters, internet or infrastructure outages, acts of government, and similar).

Notices: we’ll send notices to the email address on your account. It’s your responsibility to keep that address current.

15. Governing Law

These Terms are governed by the laws of Western Australia, Australia, without regard to conflict-of-law principles. Any dispute arising from these Terms or your use of SpotN will be subject to the exclusive jurisdiction of the courts of Western Australia.
